Terms of Service.

1. Service provider

The SeoPrimo service, available at seoprimo.it, is provided by Weblabfactory di Alberto Ferrante, VAT number IT10698181210, registered office Portici (NA), Campania, Italia, email info@seoprimo.it ("SeoPrimo", "we").

2. Subject matter

SeoPrimo is a subscription software service that, using artificial intelligence agents under human supervision, improves a business's presence on Google and in AI assistant answers: audits and the SeoPrimo Score, SEO and GEO optimisation, monitoring and — when available — subdomain landing pages, API and integrations. Features marked "coming soon" are not part of the service until released.

3. Customers: businesses and professionals only

The service is intended exclusively for businesses and professionals holding a VAT number, acting for purposes related to their trade or profession. By subscribing to a plan the customer declares that it is not acting as a consumer; consequently the consumer protection rules of the Italian Consumer Code, including the right of withdrawal, do not apply.

4. Account

The customer provides accurate information, keeps its login credentials safe and is responsible for activity carried out with its account. It notifies us immediately of any unauthorised use.

5. Plans, prices and payment

• The subscription is monthly and renews automatically each period until cancelled.
• A one-off setup fee is due on subscription. The setup fee is non-refundable, except as provided by the Guarantee terms.
• Prices are shown excluding VAT on the Pricing page and in the panel.
• Payments are made by card through Stripe; SeoPrimo neither receives nor stores card details.
• Any price changes apply from subsequent renewals and are notified by email at least 30 days in advance.
• If payment fails the service may be suspended until the account is brought up to date.

6. Credits

• Each plan includes a monthly credit allowance, used for the actions listed in the cost table on the Pricing page.
• Plan credits are valid for the current period and do not accumulate: at renewal the plan balance restarts from the monthly allowance.
• Credit packs add to the plan credits and expire 12 months after purchase.
• Plan credits are used first, then packs in order of expiry. Expired credits cannot be used.
• Credits have no cash value, are not transferable and are not refundable, except where required by law. If a pack is refunded, the unused credits of that pack are cancelled.

7. Cancellation

The customer may cancel at any time from the Stripe billing portal available in the panel. Cancellation takes effect at the end of the period already paid; until then the service remains active. No refunds are given for partial periods. Cancelling before the end of the guarantee window voids the guarantee.

8. Acceptable use and white-hat techniques

SeoPrimo uses white-hat techniques only: the same content for users and search engines, no cloaking, no bought links or directory spam. The customer undertakes not to use the service to:

• promote sites it does not own or is not authorised to manage;
• publish unlawful or misleading content, or content infringing third-party rights;
• request techniques that breach the guidelines of Google or of the AI providers;
• overload, scrape or circumvent the protections of the service.

The customer is responsible for the content it provides and for the content it approves for publication.

9. Content and intellectual property

The customer's content remains the customer's, and the customer grants us the right to use it to provide the service. Texts and pages produced for the customer as part of the service may be used freely by the customer. The platform, software, SeoPrimo Score and SeoPrimo trademarks remain the property of the provider. Subdomains of seoprimo.it remain under SeoPrimo's control.

10. Third-party services

The service relies on third-party services, including Stripe for payments, airouter.it for AI processing and Google APIs. SeoPrimo does not control Google or the AI providers and is not responsible for their decisions, algorithms or availability.

11. Availability

We do our best to keep the service available at all times, but interruptions may occur for maintenance or for reasons beyond our control. Planned maintenance is announced where possible.

12. Limitation of liability

To the extent permitted by Italian law, SeoPrimo is not liable for indirect damages, loss of profit, loss of data or of business opportunities. SeoPrimo's total liability to the customer is limited to the amounts paid by the customer in the 12 months preceding the event. These limitations do not apply in cases of wilful misconduct or gross negligence, pursuant to article 1229 of the Italian Civil Code.

13. Suspension and termination

In the event of a breach of article 8 or of non-payment, SeoPrimo may suspend the service and, if the breach is not remedied within 15 days of notice, terminate the contract pursuant to article 1456 of the Italian Civil Code.

14. Personal data

The processing of personal data is described in the privacy notice and the cookie policy.

15. Changes to these terms

We may update these terms. Material changes are notified by email at least 30 days before they take effect; if you do not accept them you may cancel before that date.

16. Governing law and jurisdiction

These terms are governed by Italian law. Any dispute falls under the jurisdiction of the court determined according to the law.
